A charter city is a new city that runs on a special legal charter — imported or purpose-built rules — instead of the ordinary municipal stack of the host country. It is an urban-governance product, not a free-trade warehouse and not a new sovereign state.
People also say free city, free private city, startup city, and ZEDE as if those were synonyms. They are related marketing families. The legal vehicle in Honduras is the ZEDE. The lifestyle product on Roatán is Prospera. The industrial-housing product in Choloma is Ciudad Morazán. This article splits the terms so you can shop the right one.
Educational only. Zone rules, tax rates, leases, and Honduran immigration practice change. Confirm live with the zone operator and licensed counsel before you pay. A ZEDE or free-trade zone is not a new country and does not automatically change your home-country tax residency. This is not legal or tax advice.

Short Answer
A charter city is a host-country concession: the national government lets a defined territory use different commercial rules, courts or arbitration, and often different tax design. Residents and companies opt into that charter. The passport, the border, and most criminal law still belong to the host state.
If someone tells you a charter city is “your own country,” they are selling. If they tell you it is a nicer industrial park with a blog, they are underselling. The honest middle: special jurisdiction inside someone else’s sovereignty.
What a Charter City Is
The academic version — associated with economist Paul Romer — is a new city whose rules are specified up front, often with an external guarantor, so investors and residents can trust the deal longer than one local election cycle. The point is not nicer landscaping. The point is credible rules for land, contracts, and companies.
In practice, every real project is a negotiation with a host state. Honduras did not create a city-state. It created a statute (the ZEDE) that let operators write commercial rules, register companies, and run local services on designated land. That is ambitious. It is still a Honduran legal story.
Charter-city language shows up in Silicon Valley, crypto, and flag-theory circles because it promises three things those audiences want: faster company formation, clearer commercial law, and a narrative of exit from a high-friction state — without waiting for a new passport.
Free City and Free Private City
A free city is looser branding: a place that markets personal and commercial liberty relative to the surrounding country. A free private city — the phrase associated with Titus Gebel — is more specific. Residents contract with a private operator for security, rules, and services. You opt in by lease or membership. You can be shown out for breaking the contract.
Ciudad Morazán is the Latin American project that looks most like that model: gated land, lease-only housing, an Agreement of Coexistence, and a target market of Honduran industrial workers rather than crypto founders. Prospera uses more startup-city and e-governance language, with a heavier company-registry and tax-residency product line.
Contractual cities can be safer day-to-day than the surrounding municipality. They can also be less like “home” and more like a well-run campus. That is a preference, not a moral failure — but you should know which one you are buying.
Startup City and Network-State Talk
Startup city means the operator wants to iterate rules the way a software company iterates a product: English-friendly commercial codes, online formation, arbitration instead of a slow local court. Network-state talk goes further and imagines a cloud community that later buys land. Treat those essays as essays. A live ZEDE on Roatán is a land project with Honduran political risk attached.
MyLatinLife’s job is not to dunk on the vision. It is to keep the stack honest: which document you hold, which court you would actually use, and which country can still shut the experiment down.
How a ZEDE Fits
ZEDE is not a philosophy. It is Honduras’s statutory label: Zone for Employment and Economic Development. Charter-city theory needed a host-country law. Honduras wrote one. That is why we explain what a ZEDE is instead of leaving it as a parenthetical.
If you skip that distinction, you will compare Prospera to Colón Free Zone as if they were the same SKU. They are not. One is trying to be a jurisdiction. The other is trying to be a duty-free logistics machine.
What a Charter City Can Do in a Flag Stack
- Business flag — a company home with faster formation and a marketed low-tax commercial regime (Prospera LLC is the usual ask).
- Physical base — a gated, English-tolerant, or unusually cheap place to sleep (Roatán vs Choloma are different answers).
- Personal tax narrative — only if the zone actually runs a personal tax-residency product you can document. Prospera does; most zonas francas do not.
- Optionality story — a Plan B geography that is not Miami and not Asunción.
Those layers still sit under flag theory. A zone is one flag, maybe two if you stretch it. It is not five flags in a single lease.
What It Cannot Do
It cannot reprint your nationality. It cannot erase US worldwide taxation. It cannot guarantee a bank account. It cannot freeze Honduran politics. It cannot replace a well-understood national residency if what you actually need is a renewable card, a path to naturalization, or a country that already has a treaty and a banking bench.
For most clients we still start with a national residency — Paraguay, Mexico, Honduras, Panama — and only then ask whether a zone company or a zone apartment is additive.
Want a legal base, not a slogan?
Charter cities and special zones are one layer. Residency, tax residency, and banking still have to fit your nationality. We map the stack before you pay a promoter.

Frequently Asked Questions
What is a charter city in simple terms?
A new city allowed to run on a special legal charter inside a host country. Different commercial rules; same national border.
Is a free city the same as a charter city?
Often used interchangeably in marketing. Free private city usually means contractual, operator-run governance. Charter city is the broader policy term.
Where are the charter cities in Latin America?
The operating experiments people mean are Honduras ZEDEs, especially Prospera and Ciudad Morazán. Most other “zones” in the region are ordinary special economic zones.
Can a charter city give me a second passport?
No. Nationality is a national-law product. Use citizenship-by-descent, naturalization, or a citizenship-by-investment statute if a passport is the job.
Is a charter city legal?
It is legal only to the extent the host country’s law still supports it. Honduras’s ZEDE framework has been repealed and ruled unconstitutional; the projects still operate and are in a live political and legal fight. That is a risk factor, not a vibe.
