Prospera vs Ciudad Morazán is the only Honduras ZEDE comparison that matters for most foreigners. Both sit under the same contested statute. They sell opposite products: an island founder jurisdiction versus a gated industrial neighborhood in Choloma.
If you treat them as interchangeable “free cities,” you will fly to the wrong airport. Roatán is a Bay Islands trip. Ciudad Morazán is a San Pedro Sula / Choloma trip. The legal acronym is the same. The life is not.
Educational only. Zone rules, tax rates, leases, and Honduran immigration practice change. Confirm live with the zone operator and licensed counsel before you pay. A ZEDE or free-trade zone is not a new country and does not automatically change your home-country tax residency. This is not legal or tax advice.

Short Answer
Choose Prospera if the job is a company flag, a documented personal tax-residency product, or island life with English-friendly commercial tooling. Choose Ciudad Morazán if the job is very cheap gated housing next to factories, with a mostly Honduran neighbor set and almost no founder scene. Choose neither as your only Plan B while the ZEDE law is in a constitutional fight — pair either with a national residency you understand, including Honduras residency if you actually want to live in the country.
Side-by-Side
| Prospera | Ciudad Morazán | |
|---|---|---|
| Where | Roatán, Bay Islands | Outskirts of Choloma, Cortés |
| English shorthand | Startup city / island ZEDE | Bootstrap city / blue-collar free city |
| Primary customer | Remote founders, company formation, some island residents | Honduran industrial workers; a handful of expats |
| Housing | Island market; not a $100/month product | Lease-only townhouses/apartments, publicly listed in the low hundreds of USD per month |
| Company story | Strong — LLC, registry, Prospin path | Secondary — factories and local businesses already in Choloma |
| Personal tax product | Documented lump-sum / tax-residency path | Markets a simple territorial rate; confirm live |
| Immigration | Still Honduras | Still Honduras — operator says national residency/work status first |
| Vibe | Founder, crypto, Roatán tourism overlay | Gated campus next to maquilas |
Deep dives: What Is Prospera? and Ciudad Morazán. Legal wrapper: What Is a ZEDE?.
Location and Daily Life
Roatán is a diving-and-expat island with Caribbean prices, ferry/air logistics, and a tourism economy. If you already like the island, Prospera is an overlay on a place you might live anyway. See living in Roatán before you buy the jurisdiction story.
Choloma is part of the Sula Valley manufacturing belt — Honduras’s factory corridor, not a beach town. Ciudad Morazán’s pitch is safety and order relative to that corridor: a walled 24-hectare community, operator security, leases instead of property sales, parks and pulperías inside the fence. Public materials talk about a long-run capacity around 10,000 residents. Independent write-ups have described a tiny full-time foreign population — think a couple of expats at a time, not a digital-nomad district.
If your picture of a “free city” is laptop-and-espresso, Morazán will feel like the wrong movie. If your picture is low rent, high fences, and proximity to shift work, Prospera will feel like a resort brochure.
Who Each Project Is For
Prospera tends to fit:
- Founders who want a non-Wyoming, non-Panama company flag with online formation
- People already spending time on Roatán
- Anyone specifically shopping Prospera tax residency or Nomad Layer
- Flag-theory experimenters who want the most famous ZEDE on the English internet
Ciudad Morazán tends to fit:
- People who will actually live in the Sula Valley at local prices
- Operators who want a lease, a gate, and proximity to maquilas — not a beach
- Researchers of free private cities who want the contractual, working-class version
- Almost nobody whose primary goal is a LinkedIn-friendly company jurisdiction
Companies and Tax
Prospera is the company product. Public materials describe 0% tax on non-local company revenue and a low single-digit rate on local-zone revenue. Formation is productized via platforms such as Prospin. Personal tax residency is a separate SKU. Read those pages before you copy a tweet.
Ciudad Morazán’s public tax story is simpler and aimed at people who live and earn locally: a low territorial rate, no VAT in the marketing, crypto-friendly shop rails including a lempira-pegged stablecoin in some businesses. That is a local-economy design. It is not a substitute for a holding-company jurisdiction analysis, and it is not tax advice.
US citizens and green-card holders remain on worldwide taxation regardless of which fence they sleep behind. Canadians and most Europeans still have to answer where they are tax resident under home rules.
Immigration Overlay
Neither ZEDE is a visa. Tourists use tourist time. Residents use Honduran residency. Ciudad Morazán’s own move-in guidance is explicit: obtain Honduran residency or a work visa, then rent and sign the coexistence agreement. Prospera’s e-residency and tax-residency products are still not a Honduran permanent card.
If the honest goal is “I want a Honduran Plan B with low presence,” start at Honduras residency and Rentista / Pensionado. Add a ZEDE only if you also want that specific neighborhood or company stack.
Political Risk Is Shared
They share a legal ceiling. Repeal of the organic law, a Supreme Court unconstitutionality decision, and ICSID arbitration are not Prospera-only trivia. Morazán lives under the same sky. A later administration may be friendlier to zones; a future one may not. Diversify. Do not put your only second-residency eggs in a disputed statute.
Want a legal base, not a slogan?
Charter cities and special zones are one layer. Residency, tax residency, and banking still have to fit your nationality. We map the stack before you pay a promoter.
A Sane Decision Rule
- If you need a company flag and you like Roatán, look at Prospera — then still decide personal tax and immigration separately.
- If you need cheap, gated, industrial-belt housing, look at Morazán — then still get Honduran stay rights.
- If you need a second passport, walk away from this comparison and go to descent, naturalization, or CBI pages.
- If you need a classic free-trade warehouse, you wanted Colón or ZOFRI, not a ZEDE.
- If you are unsure, book a call. The wrong plane ticket is more expensive than an hour of mapping.
Frequently Asked Questions
Which is better, Prospera or Ciudad Morazán?
Neither is better in the abstract. Prospera is the founder/company/island product. Ciudad Morazán is the low-cost industrial campus. Pick the job, then the zone.
Can I live in Ciudad Morazán and keep a Prospera company?
In theory those are different products and could be combined. In practice, confirm both operators’ rules and your Honduran immigration status. Do not assume a two-ZEDE stack is automatic.
Is Ciudad Morazán cheaper than Prospera?
Housing yes, by a wide margin, on public lease figures. Island living on Roatán is a different cost structure. Company-formation pricing is a Prospera conversation.
Do I need Honduran residency for either?
For a short visit, use whatever stay rights Honduras already gives you. To live there, plan on a national immigration path. Morazán says so explicitly.
Are both ZEDEs affected by the court decision?
Yes. They are creatures of the same Honduran framework. Prospera’s ICSID case is the high-profile overlay; the statutory risk is shared.
