Panama Economic Substance Law: Why This Is Good News
On 27 May 2026 Panama’s National Assembly approved Bill 641, the economic substance rules for certain foreign-source passive income. The text was published as Law 526 of 28 May 2026 in Official Gazette 30534-B. You will see headlines about the end of Panama. Competitors will panic. Clients will forward you screenshots. Ignore the noise.
This law is a net positive for Panama and for anyone who built a real structure instead of a mailbox company. We have helped 1,500+ clients across Latin America set up residency, companies, and Panama Private Interest Foundations. The people who already treat Panama as an economic nexus, not a filing cabinet, are the ones this statute was written to keep.
Short version: if your Panama entity belongs to a multinational group and books foreign dividends, interest, royalties, or capital gains with no real local activity, Panama can now tax that net income at 15%. If you are not in that box, territorial treatment is still the baseline. The first year of application is fiscal year 2027.

What the law actually says
Panama did not abolish territorial tax. The Ministry of Economy and Finance is explicit: the new chapter in the Fiscal Code applies to entities of multinational groups domiciled in Panama that obtain certain passive rents from abroad — dividends, interest, royalties, capital gains, and real-estate capital income.
If those entities cannot show economic substance in Panama — qualified personnel, adequate facilities, strategic decision-making, and real operating expenses on Panamanian soil — they face a single, definitive 15% rate on the net taxable amount of that foreign passive income. That is the stick. It is not a 15% tax on every Panama company, and it is not a tax on a salary you earn in the United States.
The law also: (1) gives special treatment to income from intangibles developed in Panama (patents, trademarks, copyrights) so that real IP work in-country is rewarded; (2) allows a credit for tax paid abroad on the same income, to limit double tax; (3) excludes the merchant marine and financial entities supervised by the Superintendencia de Bancos, the Superintendencia del Mercado de Valores, and the Superintendencia de Seguros y Reaseguros; (4) updates the permanent-establishment concept; and (5) adds an anti-abuse clause plus confidentiality rules for tax information.
Effective date: fiscal year 2027. The Executive Branch has 90 days from enactment to issue regulations. The first substance declaration for 2027 income is expected in early 2028 once those regulations exist. Do not pretend the implementing decree is already on your desk.
Who is in scope
You are looking at this law only if both of the following are true:
- Your Panama entity is part of a multinational group — two or more related entities, linked by ownership or control, that are tax resident in different countries (parent, subsidiaries, permanent establishments).
- That Panama entity earns covered foreign-source passive income: dividends or profit distributions, interest, royalties, capital gains, real-estate capital income, or other movable-capital income from abroad.
A single Panama company with no sister companies abroad is not automatically a multinational group. A holding company that only books Panamanian-source operating income is not the same fact pattern as a group treasury vehicle booking foreign dividends. Private Interest Foundations are not magically exempt and not magically captured. Scope is about how entities connect and what income they book. That is a file-specific question, which is why we will not give you a Twitter-thread answer for a structure we have not seen.
If you are not sure whether your stack is a multinational group, that is the first thing to map. We have sat through enough of these reviews to know that people either over-include (a Wyoming LLC and a Panama foundation that do not actually control each other) or under-include (they forgot the BVI company that owns the Panama S.A.).
The 15 percent consequence
Fail the substance test and Panama taxes the net foreign-source passive income at 15%. You can credit tax actually paid abroad on the same item. That is a real cost, not a rumor. It is also a cheaper and cleaner outcome than being treated as a joke jurisdiction by a European bank.
This is the part most mailbox structures never priced in. Opening an S.A. and never holding a board meeting in Panama, never paying a local administrator, never documenting who decides what, was always a weak story. Law 526 just put a number on it.
What substance means
MEF’s own summary is the working list until the decree is published: qualified staff, adequate premises, strategic decisions taken in Panama, and real operating spend in Panama. Holding companies typically have a lighter operational profile than an active trading company. That is how economic-substance regimes work in other countries. It does not mean zero. A virtual office and a nominee who never reads a resolution is not a plan.
We consistently see the same four gaps when a client shows us a five-year-old Panama company: no evidence of where decisions were made, no local books that match the story, no person in Panama who could answer a bank’s substance questionnaire, and a foundation or S.A. that was never connected to residency or a local bank account. Those files need work before fiscal year 2027. The ones that already have a foundation, a real council, Panama residency, and a banking relationship are much closer to the line the statute is drawing.
Regulations will spell out the annual return, the documentation, and how groups evidence each income type. Until that decree exists, do not buy a product labeled “turnkey substance” from a landing page. Get the structure mapped, then wait for the form. We will review files against the published text, not against marketing.
Need this mapped to your Panama file?
We review whether your foundation or company is even in scope — then what substance actually looks like for that vehicle.
Why this is good news
Panama has spent years on and off European watchlists. That friction shows up as slower banking, extra compliance questionnaires, and counterparties who treat a Panama invoice like a red flag. The political point of Law 526 is to look like a jurisdiction that taxes empty holding companies and welcomes groups with real activity. That is how you get off those lists.
If that project works, the people who benefit are not the paper-company shops. They are the clients who already combined a Panama foundation or company with residency, a local administrator, and a bank that knows the file. Smoother correspondent banking, fewer “we don’t onboard Panama” replies, and a structure that actually clears a European counterparty. Panama is not backing down from territorial tax. It is putting a fence around the abuse case.
We have said the same thing for years: Panama as an economic nexus. Real residency. Real company or foundation. Real presence. Real substance. This statute is that argument in legal form. The clients who built it properly are fine. The ones who treated Panama like a PO box need to fix the file or pick another jurisdiction. We can help either way.
Foundations, S.A.s, and paper companies
A Panama Private Interest Foundation is not a company. It is a Law 25 of 1995 vehicle that holds assets — real estate, accounts, investments, IP — off your personal name. An S.A. is a corporation. Banks, counterparties, and now the Fiscal Code look at what the entity does and how it sits in a group, not at the marketing name on the formation invoice.
If the foundation is a standalone asset holder with no sister companies in other countries booking foreign passive income through Panama, you may not even be in the multinational-group box. If the same economic family has a Panama S.A. receiving foreign dividends and a Delaware parent, you probably are. Do not guess from a blog. Bring the chart.
Paper companies are a dead product. They were a dead product before Law 526. The difference is that Panama will now charge 15% when the story does not hold. If you need the holding layer rebuilt the way we actually deliver it — council, assets, banking path, not a PDF in a drawer — start at the Panama foundations service. Company-based residency is a different file: Panama residency via company formation.
What to do now
Nothing is due tomorrow. Fiscal year 2027 is the start. Regulations are due within 90 days of enactment. That is still a short window to clean a messy group chart, open a real local relationship, or decide the Panama entity should not exist.
Practical sequence we use with clients:
- Draw the group. Every entity, jurisdiction, ownership percentage, and what income it books.
- Mark the Panama box. Is that entity in a multinational group, and does it earn covered foreign passive income?
- If no, stop. Keep the territorial file clean. Do not invent a substance project you do not need.
- If yes, inventory substance. Who decides, where, with what staff, premises, and spend. Fix the gaps before the first 2027 year is closed.
- Connect the immigration layer. A foundation with no human in Panama and no residency is a weaker story than one tied to Panama residency and a Panama bank account.

Frequently Asked Questions
Did Panama end territorial tax?
No. Territorial tax remains the baseline. Law 526 adds a 15% charge on specific foreign-source passive income of multinational-group entities that fail the substance test. Operating income and structures that are not in scope are a different analysis.
When does the 15% start?
Fiscal year 2027. The Executive Branch has 90 days from enactment to issue regulations. The first annual substance declaration for 2027 income is expected in early 2028. Confirm dates against the published decree when it lands.
Does a Panama foundation automatically fall outside the law?
No. A foundation is not taxed as an S.A., but scope is about multinational groups and covered passive income, not the label on the charter. How the foundation is owned and what it receives from abroad is the test. See Panama Private Interest Foundations.
What counts as economic substance?
Until the decree is out, use MEF’s list: qualified personnel, adequate facilities, strategic decision-making in Panama, and real operating expenses in Panama. Holding companies usually need less operational bulk than a trading company. A nominee and a virtual address is not enough.
I only have one Panama company and no foreign affiliates. Am I in?
The statute targets entities that are part of a multinational group — two or more related entities tax resident in different jurisdictions. A lone Panama company with no related foreign entities is a different fact pattern. Map the full chart before you assume either way.
Should I dissolve my Panama company this year?
Not as a reflex. Empty companies that exist only to book foreign passive income need a plan. Companies tied to residency, banking, and real decisions in Panama are the files this law is trying to keep. Get a review before you unwind something you still need.
