Charter Cities, Free Cities, and Economic Zones in Latin America

Charter cities, free cities, and ZEDEs are governance experiments inside a host country — not new passports, and not the same thing as a warehouse free-trade zone. In Latin America the live projects people actually mean are almost always in Honduras: Prospera on Roatán and Ciudad Morazán outside Choloma.

After helping 1,500+ clients with residency, companies, and tax-residency stacks across 20 countries, MyLatinLife treats these zones the way we treat any sovereignty tool: separate the marketing slide from the immigration stamp, the company certificate, and the city you would actually sleep in.

Educational only. Zone rules, tax rates, leases, and Honduran immigration practice change. Confirm live with the zone operator and licensed counsel before you pay. A ZEDE or free-trade zone is not a new country and does not automatically change your home-country tax residency. This is not legal or tax advice.

Charter Cities & Economic Zones

These projects occupy the free-city / ZEDE rung. The full continuum — micronations, SEZs including Catawba, network states including Ipê City, and edge-case passports — is mapped at micronations, SEZs, free cities, and network states.

How to Use This Guide

Start with the definition if you are still mixing terms. Go to the ZEDE guide if your question is Honduras-specific law. Use the special-economic-zone guide if you mean Colon, Iquique, Manaus, or a maquila park. Use the project pages only after you know which product you are buying.

  1. Read what a charter city is — and what it is not.
  2. Read what a ZEDE is if the project sits in Honduras.
  3. Compare Prospera vs Ciudad Morazán before you fly to either.
  4. If you need legal stay in Honduras, use Honduras residency — the zone does not replace it.

The Three Products People Confuse

Search results smash three different tools into one romantic phrase. They are not interchangeable, and mixing them is how people buy the wrong stack.

ToolWhat it actually isLatin America example
Charter city / free cityA new urban jurisdiction with its own commercial rules, often contractualProspera, Ciudad Morazán
ZEDEHonduras’s legal vehicle for a special zone with unusual autonomyThe statute behind those two projects
Classic SEZ / zona francaCustoms, tax, or industrial incentives — usually not a new city governmentColón Free Zone, ZOFRI Iquique, Manaus, DR zonas francas

A Colón re-export warehouse and a Roatán charter-city pitch can both be called “economic zones.” Only one of them is trying to sell you a governance story. Full split: special economic zones in Latin America.

Honduras Is the Live Laboratory

Honduras built the most aggressive special-jurisdiction statute in the region: the ZEDE, or Zona de Empleo y Desarrollo Económico. That is why English-language charter-city Twitter is disproportionately about one Central American country instead of Panama or Chile.

The two projects worth a dedicated page are not twins. Prospera sells founder tooling, company tax framing, and island optics. Ciudad Morazán sells cheap gated housing next to Choloma’s factories. Orquídea exists as a third, more agricultural ZEDE in the south — useful context, not a lifestyle product for most foreign readers.

The political story is not a footnote. Honduras later repealed the ZEDE organic law, and the Supreme Court later declared the underlying constitutional reforms unconstitutional. The projects still operate; investors in Prospera have an ICSID case against the state. Price that risk before you treat a zone certificate as a forever flag. Detail lives in What Is a ZEDE?.

Classic Special Economic Zones Still Matter

Most of Latin America’s “zones” are not charter cities. They are industrial parks, free ports, and tax-incentive regimes: Colón in Panama, ZOFRI in Iquique, the Manaus Free Zone, Dominican zonas francas, and incentive chapters like Puerto Rico Act 60. Those tools can be the right answer for a factory, a re-export business, or a tax-home analysis. They are the wrong answer if you wanted a new municipal legal system.

What a Zone Does Not Buy You

  • Not a passport. No ZEDE issues Honduran nationality. Citizenship still runs through descent, naturalization, or another country’s statute.
  • Not automatic immigration. Foreigners who want to live in a zone still need a lawful Honduran stay path — tourist time, Rentista/Pensionado, investor, work, or family.
  • Not automatic tax residency. Company tax inside a zone is a different product from personal tax residency. US persons stay on worldwide taxation unless a specific exclusion or credit applies.
  • Not a substitute for banking. A company certificate is not a US or Panama account. KYC still happens.
  • Not political insurance. Host-state politics can reprice the whole experiment. That is the point of the ZEDE litigation story.

If the real job is a second residency you understand, start with Latin America residency comparison or a country SKU such as Paraguay residency — then decide whether a zone belongs in the company layer.

Want a legal base, not a slogan?

Charter cities and special zones are one layer. Residency, tax residency, and banking still have to fit your nationality. We map the stack before you pay a promoter.

Frequently Asked Questions

Are there charter cities in Latin America?

The live projects English speakers usually mean are Honduras ZEDEs: Prospera on Roatán and Ciudad Morazán near Choloma. Classic free-trade zones exist across the region, but those are not charter cities.

Is Prospera a country?

No. Prospera is a special zone on Roatán, Honduras. You still clear Honduran immigration, and a Prospera company is not a Honduran passport.

Can I move to a free city without Honduran residency?

You can visit on whatever stay rights Honduras already gives you. Living there as a resident still sits on top of Honduran immigration. Ciudad Morazán’s own materials say you need a Honduran residency or work path before the zone lease.

Is a ZEDE the same as a zona franca?

No. A zona franca is usually a customs and tax box for trade or manufacturing. A ZEDE was designed as a much broader governance experiment. See the ZEDE and SEZ guides.

Should I use a charter city instead of Paraguay or Mexico residency?

Usually no — not as a substitute. Most MyLatinLife clients still want a national residency they understand, then maybe a company or housing layer in a zone. Book a call if you are trying to combine them.
